These General Terms and Conditions of Sale (hereinafter the GTC) apply without restriction to all services offered by Aiflowia, represented by Mr Emmanuel Preizal (hereinafter the Service Provider), to professional and non-professional clients (hereinafter the Client) on its websites aiflowia.com and virtuprocess.com.

Article 1 – Scope and Services

The Service Provider offers an AI-powered automation audit application based on an intelligent and personalised questionnaire. Two types of reports are available:

Free Audit Report (approx. 2 pages): summary of the main automation opportunities identified.
Premium Audit Report (approx. 8 pages): comprehensive strategic document including an executive summary, process mapping, recommended automation architecture, ROI analysis, multi-phase roadmap and a commercial proposal for implementation.

Article 2 – Ordering and Quotation Process

2.1. The Free Audit Report is delivered after the online questionnaire is completed.

2.2. For the Premium Audit, the price excl. VAT is €200 excl. VAT.

2.3. A free video call of at least 30 minutes with Emmanuel Preizal (CEO of Aiflowia) will be scheduled.

Article 3 – Pricing and Deductibility Clause

3.1. The Premium Audit price is expressed in Euros excluding VAT. It is firm and non-revisable.

3.2. If the Client entrusts Aiflowia with the full automation implementation, the total cost of the Premium Audit paid will be deducted from the overall implementation order amount.

Article 4a – Payment Terms for the Audit

Payment for the Premium Audit is required before delivery by email.

Article 4b – Payment Terms for Services

35% deposit upon signing the quote.
45% deposit at the midpoint of the estimated delivery period.
20% (balance) upon final delivery.

The Service Provider reserves the right to suspend delivery or work in the event of non-payment of intermediate deposits.

Article 5 – Intellectual Property

The Service Provider retains exclusive ownership of all methods, algorithms, databases and know-how used to generate the audits. The Client is granted a private, internal and non-transferable right to use the deliverables. Any reproduction or commercial exploitation of Aiflowia's methods without prior written consent is strictly prohibited.

Article 6 – Liability and Warranty Limitation

6.1. The Service Provider is bound by a best-efforts obligation. Recommendations are based on information and data provided by the Client under their own responsibility.

6.2. ROI estimates and productivity projections are indicative and do not constitute a guarantee of financial or operational results.

6.3. The Service Provider's total liability is expressly limited to the total amount excl. VAT actually paid by the Client for the audit.

Article 7 – Personal Data Protection (GDPR)

Questionnaire responses and Client identification data are processed by Aiflowia to generate audits and manage the business relationship. In accordance with the GDPR, the Client has the right to access, rectify, port and erase their personal data by contacting the Service Provider by email.

Article 8 – Disputes and Applicable Law

In the event of a dispute, the parties agree to seek an amicable solution before referring to the competent courts. Failing agreement, the dispute will be subject to the exclusive jurisdiction of the courts of the Service Provider's registered office.
